Terms and Conditions
The terms that apply when you use our website and services.
These Terms and Conditions govern your use of the website nuifishlimited.site and any engagement with Nuifish Limited. By using this website, you agree to these terms.
1. About us
This website is operated by Nuifish Limited, registered in Scotland, with its address at 5 South Charlotte Street, Edinburgh, Scotland, EH2 4AN, United Kingdom. Contact [email protected] or +48 794 074 013.
2. Use of the website
You agree to use this website lawfully and not to misuse it. All content is owned by or licensed to us and may not be reproduced without permission.
3. Information provided
Information on this website is provided for general guidance and does not constitute a binding offer or professional advice. Any proposal or quotation is subject to a written agreement.
3a. Intellectual property and ownership
Intellectual property rights in software, code, designs and documentation created specifically for a client under an engagement are assigned to that client upon payment in full of the sums due for that work. Rights in anything we created before the engagement, and in general tools, libraries, frameworks and techniques we bring to it, remain ours, and the client is granted a non-exclusive, perpetual licence to use them as incorporated in the delivered work. Third-party and open-source components are licensed by their own licensors on their own terms; we identify those components and their licences so that the client understands the obligations attaching to them, and the client is responsible for complying with those terms in its own use and distribution. We do not retain source code, credentials or accounts as security for payment or for any other purpose. Where the provider permits it, domains, repositories, cloud accounts and service subscriptions are registered in the client’s own name with us added as a user; where a provider does not permit it, we say so before the account is created.
3b. Engagements, scope and limitations
Scope, deliverables, acceptance criteria, timescales and fees are agreed in writing before work begins, and work outside that scope is quoted separately. Estimates are given in good faith on the information available at the time and are not fixed prices unless expressly stated to be. No software is free of defects and we do not represent that any software we supply will be uninterrupted, error-free or fit for a purpose that has not been stated to us in writing. Known limitations are documented and disclosed rather than left to be discovered in use. Third-party platforms, interfaces and services change, are deprecated and are withdrawn by their providers without reference to us, and work required as a result is new work. The client is responsible for the accuracy and legality of the data, content, specifications and materials it supplies, for obtaining any licences or consents its intended use requires, and for testing delivered work against its own requirements before putting it into live use.
3c. Data, security and backups
Where we process personal data on a client’s behalf, the client is the data controller and we act as processor under a separate written agreement meeting the requirements of Article 28 of the UK General Data Protection Regulation. Clients are asked not to provide live personal data for development or testing where anonymised or synthetic data would serve. We claim no security certification, no ISO standard, no Cyber Essentials certification, no penetration test, no accreditation and no insurance on this website. Security is addressed as part of an engagement to the extent agreed in that engagement, and no system can be made absolutely secure. Responsibility for backups, for continuity and for disaster recovery of live systems rests with the client unless we are separately engaged in writing to provide it, and a backup that has never been restored should not be assumed to work. We hold no vendor partnership, reseller agreement or commission arrangement with any supplier.
3d. Maintenance and inherited systems
Where we are engaged to maintain or extend software written by others, our work necessarily depends on the quality, completeness and documentation of what already exists, and on access to its source, accounts and infrastructure. We do not warrant the correctness, security, licensing or performance of software we did not write, and an assessment of inherited software is an opinion formed on the material made available to us at the time. Where we consider that a system should be replaced rather than maintained, we will say so and give our reasons; the decision is the client’s. We are not authorised or regulated by the Financial Conduct Authority and give no financial, investment, legal or tax advice. Nothing on this website is advice for your particular situation or an offer capable of acceptance.
4. Liability
Nothing in these terms excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, or for fraud. Subject to that, our liability in connection with this website is limited to the fullest extent permitted by law.
5. Privacy
We process personal data in accordance with our Privacy Policy.
6. Governing law
These terms are governed by the laws of Scotland, and any disputes are subject to the exclusive jurisdiction of the courts of Scotland.
7. Changes
We may update these Terms from time to time. The version published at the time of your visit applies.
